Terms of Service
Welcome to the CircleUp website (the "Site") operated by CircleUp Ltd ("CircleUp"). CircleUp provides its services to you subject to the following Terms of Service ("TOS"). Before using the Site, App, and Membership services, you must read and accept all of the terms in this TOS and our linked Privacy Policy and Code of Conduct. This TOS is effective upon acceptance. Use of any CircleUp functionality, including accessing our platform, constitutes your agreement to be bound by this TOS.
We may update or modify this TOS at any time at our sole discretion. Continued access or use of CircleUp services after changes are posted signifies your acceptance of the revised terms.

Platform Description CircleUp is a platform that enables users to connect, attend in-person events, and build community. Events may be created by CircleUp, individual members, or third-party hosts. We provide access to services, features, and content ("the Service"), but we do not supervise events or interactions between users. You acknowledge and agree that CircleUp shall not be held liable for any injury, accident, illness, allergic reaction, dispute, loss, damage, or other incident that may arise at or in connection with any event, regardless of whether CircleUp organised, promoted, facilitated, or attended the event in question. Attendance at events is voluntary and entirely at your own risk.
Even when CircleUp promotes, facilitates, organises, or is present at an event, it is done in a social, informal capacity. We act solely as a facilitator of social experiences and do not accept any legal duty of care. You acknowledge that CircleUp does not provide safety assurances, does not assume any legal responsibility, and shall not be held liable for any incidents, injuries, loss, or damages arising from event participation. This includes events involving food, alcohol, physical activity, or interaction with other members. CircleUp does not conduct background checks on members or verify any qualifications of organisers or attendees.
You further acknowledge and agree that CircleUp may take photographs, audio recordings, and video footage at events, and may use, reproduce, publish, distribute, and display such media in any format and for any purpose, including advertising, social media, promotional content, and internal or commercial use, without compensation or further consent from you. By attending an event, you consent to being recorded and grant CircleUp full rights to use this media worldwide, in perpetuity. You also grant CircleUp an irrevocable, perpetual, royalty-free license to use, copy, display, distribute, and publish any content (including photos, testimonials, or media) you voluntarily submit or upload to the platform for any purpose.

License and Site Access We grant you a limited, non-exclusive license to use the CircleUp platform for personal, non-commercial use. You agree not to copy, modify, reverse-engineer, scrape, distribute, or exploit any part of our Site or App. You may not use our platform to post or transmit unlawful or harmful content. Unauthorized use terminates your license immediately.

Eligibility CircleUp is only available to users aged 18 or over. Users must not be previously banned or removed from the platform. Accounts are non-transferable. CircleUp may reject any application for Membership at its sole discretion.

Member Account Responsibilities You agree to provide accurate, complete information and to keep your account secure. You are responsible for all activity under your account. CircleUp reserves the right to suspend or terminate your Membership for any breach of this TOS.

Membership and Fees CircleUp Memberships are available on a monthly or annual basis. You agree to pay all fees associated with your Membership. Annual memberships may be refunded within 30 days of purchase. Monthly memberships are non-refundable. Memberships renew automatically unless cancelled.

Cancellation and Termination You may cancel your Membership at any time. CircleUp may suspend or terminate your Membership at any time for any reason, including violations of our TOS or Code of Conduct. No refunds will be provided for terminated Memberships.

Use at Your Own Risk By using the CircleUp platform or attending any event, you acknowledge and agree that you do so voluntarily and at your own risk. CircleUp does not provide supervision, insurance, or any legal duty of care and shall not be held liable for any personal injury, illness, allergic reactions, accidents, death, disputes, property damage, or any other incidents occurring at or related to events. This limitation of liability applies regardless of whether the event is organised, promoted, facilitated, or attended by CircleUp staff or representatives. This applies regardless of whether CircleUp team members are present, whether the event is branded as a CircleUp event, or whether it is held at a venue arranged by CircleUp.
You acknowledge that events may involve inherent risks, including but not limited to social interaction, physical activity, food and alcohol consumption, travel, and exposure to natural or urban environments. You expressly assume all risks, known and unknown. You are solely responsible for your own physical health, insurance coverage, and fitness to participate in any activity. CircleUp recommends that you maintain your own insurance and make independent arrangements for emergency planning. CircleUp shall not be liable for providing any emergency support, medical assistance, or insurance coverage at any event.
You acknowledge that your participation in events is entirely voluntary and that CircleUp makes no guarantees about event quality, safety, outcome, or attendance. You agree that CircleUp does not endorse or verify the identity, conduct, or safety of any members or hosts.

Code of Conduct You agree to comply with CircleUp’s Code of Conduct. Any violation may result in suspension or termination of Membership. No refunds will be issued in such cases.

Content and Intellectual Property You retain ownership of content you submit to CircleUp but grant us a worldwide, royalty-free, irrevocable license to use, display, reproduce, distribute, and promote that content on our platform, in marketing, or in communications. You agree that you have all rights to grant this license and will not submit content that infringes on third-party rights. We reserve the right to remove content that we determine, at our discretion, violates our policies or applicable law. All trademarks, logos, and branding on the platform are the property of CircleUp and may not be used without our written permission.

Damage to Property and Third-Party Liability You agree that you are solely responsible for any damage you cause to venues, property, or third-party facilities used during CircleUp events. You agree to reimburse those parties directly. CircleUp accepts no responsibility for such damage or related claims. Members are personally liable for their actions at events, including damage to venue property, and are encouraged to act responsibly at all times. You are also responsible for any guests you bring to CircleUp events.

Limitation of Liability CircleUp shall not be liable for any direct, indirect, incidental, or consequential damages resulting from your use of the platform or attendance at events, including but not limited to any injuries, accidents, disputes, or losses incurred during such events. This limitation applies regardless of whether the event was organised, promoted, facilitated, or attended by CircleUp, or whether it was hosted by a member or third party. Our maximum aggregate liability to you shall not exceed £100 or the total amount paid to CircleUp in the preceding 12 months, whichever is greater. Nothing in this agreement excludes or limits our liability where it would be unlawful to do so, including for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.
Where we act as event organisers, we do so solely in the capacity of a facilitator of informal social gatherings. We do not assume responsibility beyond this role and explicitly exclude any legal duty of care to the fullest extent permitted by law. This includes, but is not limited to, any injuries, accidents, disputes, losses, or incidents arising from attendance at or participation in such events. This limitation of liability applies regardless of whether CircleUp organised, promoted, facilitated, attended, or was otherwise involved in the event. Members are responsible for their own safety, insurance, and emergency planning when participating in any activity associated with CircleUp events. Members agree that all activities undertaken at events are at their own discretion and risk, and CircleUp shall not be liable for any outcome, accident, or claim resulting from such participation.

Indemnification You agree to indemnify and hold harmless CircleUp, its directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including legal fees) arising from your use of the platform, your breach of this agreement, or any injury, accident, incident, or dispute occurring during or in connection with your participation in CircleUp events, whether hosted by CircleUp or by members, including those involving food, alcohol, physical activity, or interaction with other attendees, breach of this TOS, participation in events, or violation of any laws or third-party rights. This indemnity also applies to any claims arising from actions of guests you bring to any event.

Communications and Notifications By using CircleUp, you consent to receiving communications from us electronically. These may include emails, SMS, or push notifications related to events, updates, and account activity. CircleUp is not liable for missed information or events due to failed or delayed delivery of such communications. You are responsible for maintaining accurate contact details.

App and Third-Party Platforms If you download our app from a third-party provider (e.g. Apple or Google), you agree to comply with their respective terms of use. CircleUp is not liable for performance issues, outages, or disputes arising from such platforms.

Force Majeure CircleUp is not liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, venue closures, strikes, pandemics, or government restrictions.

Dispute Resolution We encourage resolving disputes informally. If unresolved, any legal proceedings must be brought in the courts of England & Wales, which will have exclusive jurisdiction.

Modification and Termination We reserve the right to modify or discontinue any part of the platform at any time without notice. We may also modify this TOS by posting updates on our site. Continued use of the platform after changes means you accept the new terms.

Class Action Waiver You agree to resolve disputes with CircleUp on an individual basis. You waive the right to participate in any class action or representative proceeding against CircleUp.

Governing Law This Agreement is governed by the laws of England & Wales. You agree to the exclusive jurisdiction of the courts located in England & Wales.

Entire Agreement This TOS, along with our Privacy Policy and Code of Conduct, constitutes the entire agreement between you and CircleUp regarding use of our platform. If any part is found invalid, the remaining sections remain in force.
